Usage Agreement for Sherwood Studios
 
This is a studio User Agreement and Code of Conduct between the named contract Studio Member and Sherwood Studios.
 
Sherwood Studios is the name defining the studio complex and the current studio manager Christina Williams

1. AGREEMENT TERMS
 
1.1. Property: Single shared open-plan studio called the Print Room 
 
1.2. Permitted use: Shared studio space for the purposes of printmaking and activities agreed by the management at the time of viewing
 
 
 £100 per month with reasonable power usage is included in the price.
1.4 Exceptions:
 
a. When the Studios are open to the public on the third Saturday each month 
b. When the Studios are participating in Sherwood Art Week or Open Studios Notts.
 
1.5. Fixed monthly payment payable on the first day of every month by standing order
 
1.6. Plus refundable deposit of £100 payable with first rental payment 
 
1.7. Occupancy commencement date: ________________
 
1.8. Sherwood Studios agrees to offer the following service subject to the terms set out in this User Agreement
 
a. Studio membership agreed on the viewing of the space
b. Use of the printmaking facilities after an induction
c. Set of keys for the studio (see 1.9)
d. Toilet and basic kitchen facilities
e. Indoor waste bins and bags (see 1.11)
 
1.9. The keys must not have any address details attached to them.
 
1.10. If the keys are lost, replacement cost will be charged at current rates at Sherwood Cobbler.
 
1.11. Council waste collection is not available - Rubbish must be removed by Members.
 
 
2. PERMISSION TO USE
 
2.1 Access to the studios at a reasonable rate at all times.
 
2.2 The Studio Member acknowledges that:
 
a. The Studio Member shall occupy the Property as a user and that no relationship of landlord and tenant is created between the Studio Member and Sherwood Studios by this agreement.
 
b. Sherwood Studios retains control, possession and management of the Property and the Studio Member has no right to exclude Sherwood Studios from any part of the Property.
 
c. The agreement to use granted by this agreement is personal to the Studio Member and is not assignable and the rights given in this agreement may only be exercised by the Studio Member; and without prejudice to its rights under clause 4, Sherwood Studios shall be entitled at any time on giving not less than 1 months notice to require the studio Member to vacate the Property. 
 
 
3. STUDIO MEMBERS OBLIGATIONS
The Studio Member agrees:
3.1. To make the agreed monthly payment to Sherwood Studios in full, without any deduction in advance or on the first day of the month until the end of the rented period for a minimum term of 6 months from the start date of the contract;
 
3.2. To not use the building for private residential purposes;
 
3.3. To keep the property clean, tidy and clear of rubbish;
 
3.4. Not to use the property other than for the permitted use;
 
3.5. Not to make any alteration or addition whatsoever to the Property unless agreed with Sherwood Studios and Landlord that adheres to HSE and building regulations;
 
3.6. Not to do or permit to be done on the Property anything which is illegal or which may be or become a nuisance (whether actionable or not), annoyance, inconvenience or disturbance to the Sherwood Studios or to tenants or occupiers of the building or any owner occupier of neighbouring property;
 
3.7. Not to cause or permit to be caused any damage to the Property, building or any neighbouring property; or any property of the owners or occupiers of the property, building or neighbouring property;
 
3.8. Not to obstruct the common parts and walkways, make them dirty or untidy or leave any rubbish on them;
 
3.9. Not to obstruct fire routes or fire doors;
 
3.10. To maintain personal electrical appliances including PAT test where required, to turn all electrical appliances off when the space is not in use and to make reasonable efforts to limit the cost of the metered utility units;
 
3.11. Not to apply for any planning permission in respect of the property;
 
3.12. Not to do anything that will or might constitute a breach of any necessary consents affecting the property, or which will or might vitiate in whole or in part any insurance effected by Sherwood Studios in respect of the property and building from time to time;
 
3.13.  To observe any rules and regulations Sherwood Studios makes and notifies to the Studio Member from time to time governing the Studio Members use of the Property and the common Parts;
 
3.14. To leave the Property in a clean and tidy condition and to remove the Studio Members furniture, equipment, personal property and goods from the Property at the end of the agreement period;
 
3.15. To indemnify Sherwood Studios and keep Sherwood Studios Indemnified against all losses, claims, demands, actions, proceedings, damages, costs, expenses  or other liability in any way arising from this agreement and the Studio Members undertakings; 
 
3.16. To have in place Public liability Insurance (evidence required) and any other necessary insurance for the activities undertaken.
 
3.17. Not to do anything on or in relation to the Property that would or might cause Sherwood Studios to be in breach of the tenants covenants and the conditions contained in the lease;
 
3.18 Not to use the Property or address of the Property for business use other than what is agreed between the members; 
 
3.19. In the event of contract termination with the Landlord and Sherwood Studios all current Studio Members agree to help dismantle and clear the studio and all Sherwood Studio fixings and contribute to the costs involved in the removal operation and its disposal;
 
3.20. Respect the Property and studio space and other Sherwood Studio members and not remove, destroy or damage their property;
 
3.21. To have respect for the other tenants or users within the building and not to remove, destroy or damage their property;
 
3.22. Respect other Sherwood Studios members without bias or prejudice on the basis of age, gender, race, nationality, colour, faith, sexual orientation, level of ability or position in society;
 
3.23. To allow Sherwood Studios with 3 months notice the right to increase monthly rents;
 
3.24. Not to do anything to invalidate the landlord's insurance policy covering the Property or which might increase the premium;
 
3.25. Return the keys at the end of the contract term with Sherwood Studio.
 
 
4. ENDING THE AGREEMENT
 
4.1. The agreement shall end on:
 
a. The expiry of not less than 3 months notice given by the Sherwood Studios to the Studio Member or by the Studio Member to Sherwood Studios;
 
b. Unforeseen contract termination with Sherwood Studios' landlord resulting in the Studio Members immediate contact termination and vacation of the studio space;
 
c. The expiry of any notice given by Sherwood Studios to the Studio Member at any time for breach of the Studio Members obligations in clause 3; 1 months notice.
 
4.2. Termination of this agreement shall not affect the rights of either party in connection with any breach of any obligation under this agreement which existed at or before the date of termination.
 
 
5. NO WARRANTIES FOR USE OR CONDITION
 
5.1. Sherwood Studios gives no warranty that the Property possesses the Necessary Consents for the Permitted Use.
 
5.2. Sherwood Studios gives no warranty that the Property is physically fit for the purposes specified in clause 2.
 
5.3. Studio Members acknowledge that it does not rely on, and shall have no remedies in respect of, any representation or warranty (whether made innocently or negligently) that may have been made by or on behalf of Sherwood Studios before the date of this agreement as to any of the matters mentioned in clause 5.1 or clause 5.2.
 
5.4. Nothing in this clause shall limit or exclude any liability for fraud.
 
 
6. LIMITATION OF SHERWOOD STUDIOS AND ITS NAMED CONTACT SIGNEES LIABILITY
 
6.1. Subject to clause 6.2 Sherwood Studios are not liable for:
 
a. the death of, or injury to the Studio Member, its employees, customers or invitees to the Property; or
 
b. damage to any property of the Studio Member or that of the Studio Members or employees, customers or other invitees to the Property; 
 
c. any losses, claims, demands, actions, proceedings, damages, costs or expenses or other liability incurred by the Studio Member or Studio Member's employees, customers, or other invitees to the Property in the exercise or purported exercise of the rights granted by clause 2.
 
6.2. Nothing in clause 6.1 shall limit or exclude Sherwood Studios liability for:
 
a. death or personal injury or damage to property caused by negligence on the part of Sherwood Studios or its employees or agents; or
 
b. any matter in respect to which it would be unlawful for Sherwood Studios to exclude or restrict liability.
 
 
7. THIRD PARTY RIGHTS
 
7.1. A person who is not a party to this agreements shall not have any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this agreement.
 
8. GOVERNING LAW
 
8.1. This agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.
 
9. JURISDICTION
 
9.1. Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this agreement or its subject matter or formation (including non-contractual disputes or claims.)
This agreement has been entered into on the date stated at the beginning of it.
 
10. DEPOSIT
 
10.1. Sherwood Studios has the right to refuse the return of the Studio Member's deposit if the Studio Member has not complied with the terms of this agreement.
 
11. SIGNATURES
 
11.1. In signing this document the Studio Member has understood and agreed to the terms set out by Sherwood Studios within this document.
